1. Introduction

Welcome to OPTAX ("OPTAX", "we", "us", or "our"), a tax automation platform operated by OPTAXEL, LLC, a Delaware limited liability company with its principal place of business at Newark, Delaware, United States.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Service Description

OPTAX provides AI-powered tax preparation software for Canadian businesses, including but not limited to:

  • T2 Corporate Income Tax Return preparation package generation
  • GST/HST calculation and reporting
  • Financial document analysis and categorization
  • Tax optimization suggestions for user review
  • CRA deadline tracking and reminders

3. Important Disclaimers

AI-Generated Content: Our platform uses artificial intelligence to analyze documents and generate reports. AI outputs may contain errors. You are solely responsible for reviewing all outputs before you or your authorized representative submit anything to the Canada Revenue Agency (CRA).

No Professional Advice: Nothing in the Service constitutes legal, tax, or accounting advice. We recommend consulting a licensed CPA or tax professional for complex matters.

Current CRA Filing Boundary: The current standard flow generates a T2 PDF preparation package for manual review and user-controlled filing. OPTAX does not automatically file returns with the CRA, and CRA-certified EFILE, CIF, WAC, or direct transmission features remain deferred until separate certification, provider readiness, and user authorization controls are available.

You agree to:

  • Review all generated reports before filing with the CRA
  • Maintain the security of your account credentials
  • Comply with all applicable Canadian tax laws and regulations
  • Not use the Service for fraudulent or illegal purposes

5. Subscription & Billing

Pricing: Subscription plans, billing intervals, trial offers, and pricing are displayed on our Pricing page or in Stripe Checkout before you enter payment details. All prices are in Canadian Dollars (CAD) unless otherwise specified.

Trial and Recurring Billing: Some plans may include a fourteen (14) day free trial. A valid payment method may be required to start the trial. Unless you cancel before the trial ends, you authorize Stripe to charge the payment method on file for the selected plan and billing interval, and to continue recurring charges until you cancel.

Cancellation: You may manage or cancel your subscription through the billing portal in your account when that portal is enabled. If you cancel auto-renewal, access continues until the end of the current paid period unless a refund is processed.

T2 Filing Credits: One filing credit covers one company and one tax year. Lite annual includes one credit for the subscription period, and Professional annual includes two credits for the subscription period; annual allowance credits do not roll over. Lite monthly earns one credit after four paid monthly invoices, with a maximum of one per subscription year. Professional monthly earns one credit after each two paid monthly invoices, capped at two per subscription year. Monthly-earned credits are usable only while the subscription is active, current, and not scheduled to cancel.

Packages and Add-ons: A standalone CA$199 T2 package covers one company-year and is valid for twelve (12) months if unused. The CA$149 annual Additional Company Add-on adds company capacity plus one T2 filing credit locked to that added company. Monthly add-on credits mature after four paid add-on monthly invoices, expire after 12 months if unused, require an active/current subscription that is not scheduled to cancel, and cannot transfer to another company.

Refunds: We offer a 24-hour satisfaction guarantee. If you are unsatisfied, you may request a full refund within 24 hours of your initial purchase by contacting support. Refund eligibility is verified against Stripe billing records and local product activity. Refunds are not available after tax deliverables are generated or downloaded, after a CRA submission attempt, after an auto-renewal charge, or after the refund window has expired. Readiness checks and high-level previews do not by themselves close the refund window.

6. Legal Consent Records

When you register, accept updated terms, connect banking data, start a trial checkout, or confirm a tax filing workflow, we may record the document version, timestamp, account, privacy-preserving request evidence, and related workflow metadata. These records are maintained for security, billing, compliance, and audit purposes.

The current legal package includes these Terms, the Privacy Policy, the Tax Disclaimer, the AI Data Processing Disclosure, the Refund Policy, and trial billing authorization copy shown at checkout or signup.

7. Intellectual Property

All content, features, and functionality of the Service are owned by OPTAXEL, LLCand are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of all data you upload to the Service. By uploading, you grant us a limited license to process your data solely for providing the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTAXEL, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

For Canadian users, nothing in these Terms affects your rights under the applicable consumer protection laws of your province of residence.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Effective Date" above.
